Terms of Service
1. Access and Use
1.1 Grant of Access
Lianwo Technology is a leading company dedicated to providing large model services. The Services provide a suite of machine learning-powered coding tools that help developers write code more easily and efficiently, and may provide code suggestions, outputs, or other features. Subject to your compliance with these Terms, Lianwo Technology grants you a limited right to access and use the Services.
1.2 Content
You may provide input content to the Services ("Input Content") and receive code, outputs, or other features generated based on the Input Content you provide (collectively, "Suggested Content"). Input Content and Suggested Content are collectively referred to as "Content." We may use Content to provide the Services, comply with applicable laws, enforce our Terms and policies, and maintain the security of the Services. By submitting Input Content to the Services, you represent and warrant that you have all rights, licenses, and authorizations necessary to permit us to process such Input Content and provide the Services to you under these Terms.
1.3 Model Training
Unless you explicitly consent to the use of Content for training, Lianwo Technology will not use Content to train any artificial intelligence models, nor will it allow any third party to use Content for such purpose. You may review the relevant instructions within the Services and manage your preferences regarding whether Input Content and Suggested Content may be used for model training.
1.4 Limitations of Suggested Content
You acknowledge that Suggested Content is automatically generated by machine learning technology and may be similar or identical to Suggested Content provided to other users. Furthermore, you acknowledge that Suggested Content provided by large language models and other artificial intelligence models (collectively, "AI Models") has numerous limitations, including but not limited to:
- Suggested Content may contain errors or misleading information;
- AI Models operate based on preset rules and algorithms, lack the ability for creative thinking and generating new ideas, and may produce repetitive or formulaic content;
- AI Models have difficulty understanding nuances of language, including slang, idioms, and cultural references;
- AI Models have difficulty completing complex tasks that require reasoning, judgment, and decision-making;
- Data used to train AI Models may be of low quality or contain biases.
You agree that you are solely responsible for evaluating and bearing all risks arising from the use of any Suggested Content.
1.5 Usage Restrictions
Unless applicable law prohibits such restrictions, you shall not:
- Reverse engineer, disassemble, decompile, decode, or otherwise attempt to obtain the source code, object code, or underlying structure of the Services;
- Copy, modify, translate the Services or create derivative works thereof;
- Rent, lease, lend, or sell the Services;
- Remove any proprietary notices from the Services;
- Use the Services or any Suggested Content to develop or train models that compete with the Services, or to conduct model extraction or theft attacks;
- Probe, scan, or attempt to breach the Services;
- Provide benchmark testing results of the Services to any third party unless you also provide all information necessary for others to reproduce the testing;
- Scrape, crawl, or extract data from the Services;
- Use the Services in a manner that infringes, misappropriates, or violates third-party intellectual property or other rights, or violates any applicable laws or regulations;
- Submit to Lianwo Technology any data or information that is subject to specific legal protections;
- Knowingly permit any third party to engage in any of the foregoing activities.
1.6 Beta Services
Lianwo Technology may from time to time make beta services available to you. Beta services are provided for evaluation purposes only, should not be used in production environments, and do not receive full support. Beta services are provided on an "as is" and "as available" basis, without any warranties, support, maintenance, or storage services of any kind. Lianwo Technology may, at its sole discretion, terminate any beta service at any time, and it may never be generally released. Lianwo Technology assumes no liability arising from beta services — you assume all risk.
1.7 Automatic Code Execution
The Services may include features that automatically execute suggested code without human review or confirmation, and such features will be clearly labeled. By enabling such features, you acknowledge and agree that you bear all risks associated with the execution of automatically generated code, including but not limited to system disruptions, software defects, data loss, and security vulnerabilities.
2. Eligibility
You must have reached the age of majority in your jurisdiction or be at least 18 years of age, whichever is higher, to use the Services. By agreeing to these Terms, you represent and warrant to us that: (a) you are at least 18 years of age or have reached the age of majority in your jurisdiction; (b) you have not previously been suspended or removed from access to the Services; and (c) your registration and use of the Services comply with all applicable laws in your jurisdiction.
3. Account Registration and Access
To access most features of the Services, you must register an account. When registering an account, you may be required to provide us with personal information, such as your name, email address, or other contact details. You agree that the information you provide is true, complete, and not misleading, and you will keep it accurate and up to date at all times. You are solely responsible for maintaining the confidentiality of your account and password, and you bear responsibility for all activities that occur under your account.
4. Payment Terms
4.1 Paid Services
Some features of the Services may require payment. Prior to payment, you will have the opportunity to review and accept the applicable fees. Unless otherwise expressly stated in these Terms, all fees are denominated in RMB and are non-refundable except as required by law.
4.2 Pricing
Lianwo Technology reserves the right to determine the pricing for the Services and will use reasonable efforts to keep the pricing information displayed on the Services up to date. Lianwo Technology may adjust the fees for any feature of the Services upon prior notice. Your continued use of the Services after a price adjustment takes effect constitutes your agreement to pay the adjusted fees.
4.3 Payment Processing
To support payment for the Services via bank account, credit card, or debit card, we use third-party payment processors. Users who agree to these Terms and use the payment features of the Services also agree to be bound by the agreements of the third-party payment processors. Lianwo Technology assumes no responsibility for any payments you make through the Services.
4.4 Subscription Services
The Services may include subscription plans with recurring automatic billing ("Subscription Services"). Subscription Services take effect from the subscription billing date and automatically renew for the same duration unless you cancel the Subscription Services or we terminate the Services. You must cancel the Subscription Services at least 24 hours prior to renewal to avoid being charged for the next subscription period.
4.5 Add-on and Pay-as-you-go Features
You may purchase supplementary products, services, or features that are not essential to the operation of the Services but enhance its functionality ("Add-on Features"). Add-on Features are considered part of the Services and are subject to these Terms.
4.6 Overdue Accounts
For any account with overdue unpaid amounts, Lianwo Technology may suspend or terminate its access to the Services. In addition to the amounts owed for the Services, overdue accounts are also responsible for incidental costs associated with declined payments or the recovery of unpaid amounts, including collection fees.
5. Ownership and Licenses
5.1 Services
Lianwo Technology and its licensors own and retain all right, title, and interest in and to the Services, all improvements and upgrades thereto, and all related intellectual property rights. Lianwo Technology reserves all rights to the Services not expressly granted under these Terms.
5.2 Feedback
If you provide input and suggestions regarding the Services ("Feedback"), you grant Lianwo Technology an unrestricted, uncompensated right to use such Feedback.
5.3 Content
You retain all right, title, and interest in and to your Input Content; Lianwo Technology hereby assigns to you all right, title, and interest it may have in and to the Suggested Content.
5.4 Usage Data
Lianwo Technology may internally collect, analyze, and process usage data for commercial purposes, including security and analytics, optimization of the Services, and other development and correction purposes; and may disclose usage data to third parties only in aggregated and/or de-identified form.
6. Third-Party Services
The Services may include or integrate optional third-party services, including but not limited to extensions and plugins that you may install at your discretion ("Third-Party Services"). You may access or use Third-Party Services at your own discretion, and such use is subject to the terms of those third-party services. Lianwo Technology makes no representations or warranties regarding Third-Party Services.
7. Communications
We may send you emails regarding our and third-party products and services. You may opt out of receiving promotional emails through the unsubscribe feature in such promotional emails.
8. Modifications to Terms
We may modify these Terms from time to time. If we make material changes, we will notify you by updating the date at the top of the Terms. All modifications take effect upon publication, and your continued access to or use of the Services constitutes your acceptance of the modifications. If you do not agree to the modified Terms, you must stop using the Services.
9. Termination
You may stop accessing the Services at any time. We reserve the right to modify, suspend, or terminate all or part of the Services or your access at any time, without prior notice. If your access to the Services is terminated due to your breach of these Terms, you will not be entitled to any refund.
10. Service Modifications
Lianwo Technology may modify or discontinue all or part of the Services at any time, whether temporarily or permanently, without notice to you. You should maintain your own copies of any Content you require, in case Service modifications result in your inability to access such Content.
11. Copyright Complaints
If you believe your intellectual property has been infringed, we may remove or disable Content that we believe violates these Terms or is allegedly infringing. Written copyright infringement claims must include the following information:
- A physical or electronic signature of a person authorized by the copyright owner;
- A description of the copyrighted work that you claim has been infringed;
- A description of where the allegedly infringing material is located on the Services, sufficient for us to locate it;
- Your address, telephone number, and email address;
- A statement that you have a reasonable good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
- A statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on behalf of the copyright owner.
12. Privacy
Please carefully read Lianwo Technology's Privacy Policy for information about how we collect, use, store, and disclose your personal data.
13. Indemnification
To the maximum extent permitted by law, you will defend and indemnify Lianwo Technology and its affiliates (collectively, the "Lianwo Technology Parties") against any and all liabilities, claims, damages, expenses, and other losses arising from: (1) your unauthorized or improper use of the Services; (2) your breach of any part of these Terms; (3) any claim that your Input Content infringes the rights of a third party.
14. Disclaimer
The Services and Suggested Content are provided on an "as is" and "as available" basis. Lianwo Technology makes no warranties of any kind, whether express or implied, regarding the Services and Suggested Content, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Lianwo Technology does not warrant that the Services or Suggested Content will be uninterrupted, secure, or error-free.
15. Limitation of Liability
15.1 No Indirect Damages
To the maximum extent permitted by law, the Lianwo Technology Parties shall in no event be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, goodwill, or other intangible losses) arising out of or relating to these Terms, the Services, or the Content.
15.2 Liability Cap
To the maximum extent permitted by law, the aggregate liability of the Lianwo Technology Parties to you for all claims arising out of or relating to these Terms, the Services, and the Content shall not exceed the greater of: (a) the fees you paid to Lianwo Technology for the Services in the six months preceding the event giving rise to the claim; or (b) 100,000 RMB.
16. Dispute Resolution
16.1 Arbitration Agreement
You agree that any and all disputes or claims that have arisen or may arise between you and Lianwo Technology shall be resolved exclusively through final and binding arbitration, rather than in court.
16.2 No Class Actions
You and Lianwo Technology agree that each party may only bring claims against the other in an individual capacity, and may not serve as a plaintiff or class member in any purported class action or representative action or proceeding.
16.3 Confidentiality
All aspects of the arbitration proceedings, and any ruling, decision, or award by the arbitrator, shall be strictly confidential.
17. Miscellaneous
17.1 General Provisions
These Terms (including the Privacy Policy) and other agreements expressly incorporated by reference herein constitute the entire and exclusive agreement between you and Lianwo Technology regarding your use of the Services. You may not assign these Terms or any of your rights or obligations hereunder, in whole or in part, without our prior written consent.
17.2 Governing Law
These Terms shall be governed by the laws of China (excluding its conflict of laws rules).
17.3 Consent to Electronic Communications
By using the Services, you agree to receive certain electronic communications from us. You agree that any notice, agreement, disclosure, or other communication we send to you in electronic form satisfies any legal communication requirement.
17.4 Export and Trade Controls
You must comply with all applicable trade laws, including sanctions and export control laws. The Services may not be used in any country or region subject to a Chinese embargo, nor may they be made available to any person or entity that applicable trade laws prohibit or restrict dealing with.
